Terms of Use

These Terms of Use (“Terms”) are a legal agreement between you and Convo App LLC (“Convo,” “we,” “us,” or “our”). They govern your access to and use of the Convo mobile and desktop apps and the website at convo.ai(collectively, the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.If you don't agree, please don't use Convo.

1. Eligibility

You must be at least 13 years old (or the higher minimum age required in your country) to create a Convo account. By using the Service, you represent that you meet the age requirement and have the legal capacity to enter into these Terms.

Certain features (including some AI companion personalities and mature content) may require you to be 17 years or olderconsistent with the App Store's age rating.

2. Your account

  • You're responsible for activity that happens under your account, and for keeping your sign-in credentials secure.
  • You agree to provide accurate, current information when creating your account and to keep it up to date.
  • Notify us promptly at support@convo.ai if you suspect unauthorized use of your account.
  • You can delete your account at any time from inside the app. Deletion is governed by our Privacy Policy.

3. Acceptable use

You agree not to use Convo to:

  • Harass, threaten, stalk, dox, or impersonate any person;
  • Generate, share, or solicit content that sexualizes minors, or that promotes self-harm, violence, terrorism, or illegal activity;
  • Create deepfakes, non-consensual sexual imagery, or other content involving a real person's voice or likeness without their explicit consent;
  • Use the Service to commit fraud, phishing, scams, or social engineering against any person or business;
  • Reverse-engineer, decompile, scrape, or otherwise probe the Service except where permitted by law;
  • Attempt to bypass safety filters, rate limits, content moderation, or account restrictions;
  • Use automated tools, bots, or scripts to access the Service without our express written permission;
  • Resell, sublicense, or commercialize access to the Service without our express written permission;
  • Violate any applicable law or third-party right.

Violations may result in content removal, warnings, account suspension, permanent ban, and — where required by law — referral to law enforcement.

4. AI companions: nature and limitations

Convo's companions are AI-generated characters. They are not real people, they have no real beliefs, opinions, or expertise, and they are not licensed professionals of any kind.

  • Everything a companion says is fictional and should not be taken seriously. Companion output is generated by large language and speech-synthesis models and may be inaccurate, fabricated, biased, out of date, contradictory, offensive, or simply made up. You agree not to rely on it as fact, truth, or guidance, and you accept full responsibility for any action you take in response to it.
  • No professional advice. Nothing a companion says constitutes medical, mental-health, psychological, psychiatric, legal, financial, tax, investment, insurance, safety, engineering, scientific, or other professional advice. Companion statements about health conditions, symptoms, treatments, medications, dosages, legal rights, financial decisions, or safety procedures are fictional and unreliable. Always consult a qualified licensed professional before acting on anything in any of these areas.
  • Don't act on companion words in ways that could cause harm. Never use companion responses as instructions for, or encouragement to engage in, violence, self-harm, harm to others, dangerous physical activities, illegal acts, property damage, weapons use, medication or substance use, or any other conduct that could endanger you or another person. If a companion appears to encourage such conduct, treat that response as a malfunction and report it.
  • Not a substitute for human care.Companions are not therapists, counselors, doctors, or crisis responders. If you're in emotional distress, experiencing thoughts of self-harm, or need urgent help, please contact a qualified professional or, in the U.S., call or text 988(Suicide & Crisis Lifeline). If someone is in immediate danger, call your local emergency number.
  • Companion personalities are creative fiction. Companions may take on personas — friends, mentors, characters, caricatures — but those personas do not reflect the views or endorsements of Convo, of any real person whose name or likeness may be associated with them, or of any organization.
  • We apply safety filters and content moderation, but no system is perfect, and companion output can slip past those filters. If you encounter content that troubles you, stop engaging with the companion and report it to support@convo.ai.
  • You assume all risk.Your use of companions is at your sole risk. Convo expressly disclaims liability for the consequences of any action you take, or fail to take, based on a companion's words. See Sections 12 and 13.

5. User content, voice, and likeness

“User Content” means anything you submit to the Service — including voice samples, portrait images, names, personality descriptions, messages, and other content used to create or interact with companions.

a. Your representations

When you submit User Content, you represent and warrant that:

  • You own the rights to it, or
  • You have the explicit consent of every identifiable person featured (especially for voice samples or face captures);
  • You will not submit content that sexualizes or features a minor, that impersonates a real person without consent, or that otherwise violates Section 3 (Acceptable use);
  • You are responsible for any content created in your account.

b. License you grant Convo

You retain ownership of your User Content. By submitting it, you grant Convo a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to host, store, cache, copy, reproduce, transmit, display, perform, modify, adapt, translate, encode, distribute (within the Service), and create derivative works of your User Content for any purpose related to operating, securing, providing, improving, and developing the Service.

c. Companion Artifacts: special license & survival

When you create a custom companion using your voice, face, name, and personality inputs, the Service produces a derived, stylized output: the companion's visual avatar, its synthetic voice profile, its personality model, and any related expression or animation assets (collectively, a “Companion Artifact”). A Companion Artifact is a creative work produced by Convo's technology from your inputs; it is not the raw face capture, voice recording, or other underlying biometric data itself.

By creating a companion, you grant Convo a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to:

  • Host, store, copy, display, modify, animate, and otherwise use the Companion Artifact inside the Service;
  • Use the Companion Artifact, in whole or in part, to power companions, voices, characters, features, and experiences throughout the Service, including features and experiences other than the original companion you created;
  • Use anonymized signals and metadata about how the Companion Artifact performs to improve the quality, safety, reliability, and security of the Service;
  • Continue exercising all of the rights in this Section 5(c) after you delete the companion as its creator, after you delete the original input you uploaded, after you close your Convo account, and after the underlying raw face or voice data has been discarded under our Privacy Policy.

You acknowledge and agree that deletion of a companion you created — or deletion of the voice sample or face capture you uploaded to create it — does not extinguish Convo's license in the Companion Artifact derived from those inputs. The Companion Artifact is a separate, derived work and the license granted in this Section 5(c) survives any such deletion and any termination of these Terms.

For clarity: this Section 5(c) governs the derived output (the Companion Artifact). Your raw inputs — face captures, voice recordings, and other sensitive biometric material — remain governed by our Privacy Policy, including the no-retention and no-training commitments around face data set out there.

By creating a companion using your voice, face, or likeness, you confirm that you have read and agree to this surviving license. If you do not agree, do not create a custom companion.

d. AI training (other content)

For User Content other than the items covered in Section 5(c), we may use de-identified, aggregated signals to improve model quality and safety, subject to the controls described in our Privacy Policy. You can opt out of training on your conversation content in Settings → Privacy → AI Traininginside the app. This opt-out does not affect Convo's rights in the Companion Artifacts described in Section 5(c).

e. Takedowns of misuse

If your voice, face, likeness, or identifiable image has been used in Convo by someone else without your consent, email support@convo.aiand we will investigate and remove offending content promptly. This takedown right is independent of, and does not limit, Convo's license in Companion Artifacts you have voluntarily created from your own voice or face.

6. Shared responses and expirations

Convo lets you share individual companion responses outside the app. Shared responses are available for three (3) days after they are first shared, after which the link expires and the response is no longer viewable on the Service.

7. Subscriptions and purchases

Some features of Convo require a paid subscription or in-app purchase. All purchases on iOS and macOS are processed by Apple via the App Store; Android purchases are processed by Google via Google Play. We do not see or store your payment card details.

  • Subscriptions auto-renew at the end of each billing period unless cancelled. You can cancel at any time from your App Store / Google Play account settings.
  • Refunds are handled by Apple or Google according to their respective policies. Convo does not directly issue refunds for App Store / Google Play purchases.
  • Prices, features, and the contents of subscription tiers may change. Material changes will take effect at the start of your next billing period.

8. Intellectual property

The Service, including the Convo brand, app, website, software, interfaces, and underlying models (excluding your User Content), is owned by Convo App LLC and our licensors and is protected by U.S. and international copyright, trademark, and other laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, or lease any part of the Service.

9. Third-party services

Convo integrates with third-party platforms (the Apple App Store, Google Play, AI model providers, voice synthesis providers, analytics, payment processors). Your use of those platforms is governed by their own terms and privacy policies — Convo is not responsible for them.

10. Apple App Store EULA (iOS users)

If you downloaded Convo from the Apple App Store, the Apple Standard End User License Agreement also applies. Convo is the licensor; Apple is not a party to these Terms but is a third-party beneficiary entitled to enforce them. Where these Terms conflict with the Standard EULA, the Standard EULA controls for iOS App Store users.

11. Termination

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, including (without limitation) if you violate these Terms, if we are required to do so by law, or if we discontinue the Service.

You may stop using the Service at any time and delete your account from inside the app.

Sections that by their nature should survive termination — including ownership, disclaimers, indemnification, and limitations of liability — will survive.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, Convo disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, accurate, or secure, that defects will be corrected, or that any companion output will be reliable, factual, or suitable for any particular purpose.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CONVO OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (including loss of profits, data, goodwill, or other intangible losses) arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Convo's aggregate liability to you for all claims arising out of or related to the Service will not exceed the greater of (a) the amount you paid Convo in the twelve (12) months preceding the claim, or (b) USD $100.

Some jurisdictions don't allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Convo and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

15. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in New York County, New York, and you and Convo consent to personal jurisdiction there.

Nothing in these Terms prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual-property rights.

16. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will notify you in-app, by email, or via a notice on the Service before they take effect. Continued use of Convo after the changes take effect means you accept the updated Terms.

17. Miscellaneous

  • Entire agreement. These Terms (together with our Privacy Policy and any product-specific terms) are the entire agreement between you and Convo regarding the Service.
  • Severability. If any provision is found unenforceable, the remaining provisions will remain in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely.

18. Convo Marketplace — Creator Terms

The following terms apply to any user (“Creator”) who submits a Companion to the Convo Marketplace (“Marketplace”), in addition to Convo's general Terms of Service.

a. Eligibility

You must have a valid Convo account in good standing and be at least 18 years old to submit a Companion to the Marketplace. You must comply with all applicable laws in the jurisdiction where you reside and where Convo operates.

b. Submission and Review

All Companions submitted to the Marketplace are placed in an “under review” state and are not publicly listed until manually reviewed and approved by Convo's moderation team. Convo reserves the right to approve, reject, or remove any submission for any reason, including but not limited to: deepfakes of real persons without consent, hate speech, harassment, sexual content involving minors, content promoting violence or self-harm, spam, or any other violation of Convo's Content Policy. Submissions cost 10 Convo credits, which are refunded if your submission is rejected.

c. Pricing

You may list your Companion for free or at the fixed Marketplace price of US $4.99. Pricing is locked at the time of submission and cannot be changed afterward. To change pricing, you must remove the Companion from the Marketplace and submit a new listing.

d. Revenue Share

For paid listings, you (“Creator”) will receive 70% of the net revenueper sale, where “net revenue” is defined as the gross sale price ($4.99) minus the App Store's commission (currently 15% or 30% depending on Apple's terms). Convo retains the remaining 30% of net revenue. Free listings generate no revenue.

e. Payouts

Revenue accrues to your Creator balance. A 30-day hold period applies to each transaction before funds become eligible for cashout — this is to allow time for any platform-initiated refunds or chargebacks to settle. Once your eligible balance reaches a minimum of US $20.00, you may request a cashout, which is processed via Stripe Connect(a third-party payment processor). You are responsible for completing Stripe's onboarding (including identity verification) before your first cashout. Convo does not store or process your bank or tax information directly.

f. Refunds and Chargebacks

Convo does not offer refunds for Marketplace purchases. However, Apple may issue refunds at its sole discretion via the App Store. If a refund or chargeback occurs after a Creator has received credit for that sale, the corresponding net revenue will be debited from the Creator's balance. If the Creator's balance is insufficient to cover the debit, the negative balance will be offset against future earnings.

g. Taxes

You are solely responsible for reporting and paying all taxes owed on Marketplace earnings in your jurisdiction. Stripe will issue tax forms (such as a 1099-NEC in the United States) directly to Creators who meet applicable thresholds. Convo does not withhold taxes on your behalf.

h. Intellectual Property

You retain ownership of the underlying creative content of your Companion. By submitting to the Marketplace, you grant Convo a worldwide, non-exclusive, royalty-free license to host, distribute, display, and promote your Companion within the Marketplace and within Convo's products for as long as the Companion is listed. You represent and warrant that you have all rights necessary to grant this license and that your Companion does not infringe on any third party's rights.

i. Removal and Termination

You may remove your Companion from the Marketplace at any time. Users who have already purchased your Companion will retain access to their copy. Convo may, at its sole discretion, remove a Companion from the Marketplace, suspend a Creator account, or terminate this agreement at any time, including but not limited to: accumulated reports of Content Policy violations (10 or more reports in the same category will automatically place a Companion under review), legal demands, or violations of these terms.

j. No Warranty

The Marketplace is provided “as is.” Convo makes no guarantees about sales volume, traffic, discoverability, or any specific level of earnings.

k. Changes to These Terms

Convo may update these Marketplace terms from time to time. Continued use of the Marketplace after changes are posted constitutes your acceptance of the updated terms.
